Terms of Service — CircularX Shop

These Terms of Service (“Terms”) govern your access to and use of the CircularX Shop website(s), mobile applications, APIs, and other related services (collectively, the “Service”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance & scope

These Terms form a legally binding agreement between you (individual or entity, “you”, “your”) and CircularX Shop (“we”, “us”, “our”). They cover accounts, listings, purchases, content posting, and use of the Service.
Additional special terms may apply to certain features (e.g., seller agreements, developer terms, promotional programs); those terms are incorporated by reference.

2. Eligibility

You must be 18+ (or of legal majority in your jurisdiction) and able to form legally binding contracts. By using the Service you represent and warrant you meet these eligibility requirements.

3. Account registration & security

To access certain features you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your credentials.
You must notify us immediately of any unauthorized use. We may suspend or terminate accounts for suspected fraud, abuse, or violation of these Terms.

4. User roles: buyers, sellers, visitors

Buyers: may purchase goods or services listed on the Service subject to the seller’s terms, this Agreement, and applicable policies.
Sellers / Vendors: agree to listing standards, fulfilment, pricing, returns, and applicable laws. Sellers must provide truthful product descriptions and honor warranties they offer. Sellers are responsible for taxes, export controls, and applicable regulatory requirements.
Visitors: may browse content but must comply with intellectual property and conduct provisions.

5. Listings, descriptions & prohibited items

Listings must be accurate and lawful. Prohibited items (illegal goods, regulated weapons, illicit drugs, stolen property, counterfeit items, and other restricted categories listed in our policies) are not allowed. We reserve the right to remove listings that violate policies.
Sellers must disclose material facts: used condition, defects, safety risks, warranty terms, and origin.

6. Orders, pricing & payment

Prices shown are in the listed currency and may include taxes as required. We may change prices, fees, and promotions at our discretion.
Payment processing is handled by third-party payment processors; you agree to their terms. For disputed charges, follow the in-app dispute process. We may place holds or cancel orders to prevent fraud.

7. Taxes & duties

Buyers are responsible for applicable taxes, customs duties, and import fees unless otherwise stated. Sellers must comply with local tax laws and collection obligations.

8. Shipping, delivery & transfer of risk

Shipping terms (timelines, carriers, tracking) are set by sellers unless we provide fulfillment services. Estimated delivery dates are not guarantees. Risk of loss transfers in accordance with the seller’s stated shipping terms and applicable law.

9. Returns, refunds & cancellations

Return windows, restocking fees, and refund policies may vary by seller and product category. We provide standard return processes, but individual sellers may have stricter or more generous policies which must be disclosed in listings.
Digital goods, perishable items, and customized products may have limited refund eligibility.

10. User content & licenses

You retain ownership of content you create (listings, photos, reviews), but by posting you grant us a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, reproduce, modify, publish, translate, distribute, and display that content to operate and promote the Service.
You represent that you have all rights necessary to grant this license and that content does not infringe third-party rights.

11. Intellectual property

All Service content (UI, text, logos, code, images) is owned by us or our licensors and protected by IP laws. You may not copy, modify, distribute, or create derivative works except as expressly permitted.
If you believe your IP has been infringed, use the applicable in-app DMCA or rights-owner reporting process.

12. Prohibited conduct

You agree not to:

Use the Service for illegal activities or to facilitate wrongdoing;
Circumvent fees, manipulate reviews, or engage in fake transactions;
Harass, stalk, or defame other users;
Access the Service by automated means without permission;
Reverse engineer core components;
Infringe intellectual property rights.

Violation may result in warnings, listing removal, account suspension, or legal action.

13. Disputes between users

Buyers and sellers should attempt to resolve disputes using our in-app dispute resolution tools. We may mediate or impose remedies (refunds, forced returns) where appropriate. We are not the seller unless explicitly stated.

14. Warranties & disclaimers

The Service is provided “as is” and “as available.” We disclaim all warranties to the fullest extent permitted by law (merchantability, fitness for a particular purpose, non-infringement).
Sellers are responsible for product warranties and representations; we do not guarantee the accuracy of listings or fitness of goods.

15. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from or related to these Terms will not exceed the amount you paid to us in the 12 months before the claim (or, if none, a modest statutory minimum). We are not liable for lost profits, consequential damages, or incidental damages.

16. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses arising from your breach of these Terms, your content, or your use of the Service.

17. Suspension, termination & account deletion

We may suspend or terminate access for violations, legal obligations, or business reasons. You may delete your account through account settings. Certain records (transaction history, tax records) may remain after account deletion as required by law.

18. Modifications to the Service & Terms

We may modify or discontinue features at any time. We may update these Terms; material changes will be communicated through the Service. Continued use after notification means acceptance of the updated Terms.

19. Governing law & dispute resolution

These Terms are governed by the law specified in the Service’s legal notices (or, where unspecified, the law of the jurisdiction in which we operate). For disputes, we favor informal resolution through in-app support and mediation. Where required, disputes will be resolved in the courts or via arbitration as stated in the Service’s legal notices and applicable user agreements.

20. Remedies & injunctive relief

We may seek injunctive or equitable relief for breaches that cause irreparable harm (e.g., IP infringement, fraud). Remedies provided in these Terms are cumulative.

21. Third-party links & services

We are not responsible for third-party websites or services linked to from our Service. Use them at your own risk and review their terms and privacy policies.

22. Notices & communications

Notices, disclosures, and account communications will be provided via the email address you register, in-app messages, or push notifications. You accept these as legally effective communications.

23. Entire agreement; severability

These Terms, together with our policies and any additional seller/developer agreements, form the entire agreement. If a court finds a provision unenforceable, the remaining provisions remain effective.

24. Policies & enforcement

We publish additional policies (seller policy, community rules, prohibited items list, developer terms, privacy policy). Violations of those policies are treated as breaches of these Terms.

25. Export controls & compliance

You agree to comply with applicable export controls and trade sanctions. You will not export or re-export goods, technology, or software in contravention of applicable laws.
